Provider Agreement

Terms governing your participation as a service provider on NextLife.

This Provider Agreement governs your access to and use of the NextLife platform as a service provider. By registering as a provider, subscribing to a plan, or using any provider features, you agree to be bound by this Agreement in full — in addition to NextLife's Terms of Service and Privacy Policy, which are incorporated by reference.

1. Definitions

  • "NextLife" — the platform, its operators, and associated services
  • "Provider" or "You" — the individual or business registering as a realtor, lender, or mover
  • "Buyer" or "User" — a person using NextLife to explore relocation options
  • "Lead" — a user who voluntarily submits their contact information and requests to be contacted by a provider through the platform
  • "Subscription" — your active paid plan granting access to provider features

2. Independent Contractor Status

You are an independent contractor. Nothing in this Agreement creates any employment, agency, partnership, joint venture, or franchise relationship between you and NextLife.

You have no authority to bind NextLife to any agreement or obligation. You are solely responsible for your own business decisions, services, taxes, insurance, and outcomes. NextLife does not control your business operations, methods, or professional conduct.

3. Licensing, Compliance, and Professional Responsibility

By registering as a provider, you represent and warrant that you are — and will remain — in full compliance with all applicable laws, regulations, and professional licensing requirements. You are solely responsible for:

  • Maintaining all required licenses and certifications (real estate, mortgage, moving, or other applicable)
  • Complying with all federal, state, and local laws governing your profession
  • Adhering to all advertising, disclosure, and fair housing regulations
  • Providing required consumer disclosures under applicable law
  • Compliance with RESPA and related regulations where applicable
  • Any fiduciary duties or professional obligations owed to your clients
  • Maintaining adequate insurance coverage for your business activities
  • Complying with all applicable privacy, data protection, and communication laws in your jurisdiction
  • Complying with all applicable consumer protection and anti-spam laws governing your outreach to leads

NextLife does not verify provider licenses and makes no representation that providers are licensed, qualified, or compliant. NextLife is not responsible for regulatory violations, professional misconduct, or communication law violations by providers.

4. NextLife's Role — What We Do and Don't Do

NextLife is a software platform that facilitates introductions and connection routing between users and independent service providers. NextLife is not a party to any transaction, service agreement, or contract between a user and a provider.

What NextLife Provides

  • A software platform with provider listing and profile functionality
  • Visibility to users searching for relocation service providers
  • Lead routing — forwarding user-submitted connection requests to matched providers
  • AI-based matching and exposure based on platform logic
  • Analytics and performance data within your provider dashboard
  • Subscription management through Stripe

What NextLife Does Not Do

  • Represent, advise, or act on behalf of buyers or providers in any capacity
  • Negotiate, draft, or participate in any real estate, lending, or moving transaction
  • Guarantee the accuracy, completeness, or financial readiness of user-submitted information in leads
  • Supervise or control your communications with leads or clients
  • Guarantee any business outcomes, conversions, or revenue
  • Act as a real estate broker, lender, moving company, or licensed professional of any kind

5. Lead System — Important Information

NextLife is designed to connect users actively planning a relocation with relevant service providers. A lead is a user who has voluntarily submitted their contact information and requested to be contacted by a provider through the platform.

How Leads Work

  • Leads are generated when a user voluntarily requests to be contacted through the platform
  • Users typically interact with tools such as budgeting, city comparison, and move planning before submitting requests
  • Leads are routed based on factors including location, availability, subscription tier, and platform matching logic
  • Users may choose to connect with multiple providers at the same time

Lead Limitations — No Guarantees

NextLife does not guarantee lead volume, lead quality, financial readiness, seriousness, timing, intent accuracy, or conversion into closed transactions. Leads are not exclusive unless expressly stated otherwise in writing. User-submitted information is self-reported and is not verified or guaranteed by NextLife to be accurate or complete.

Lead Data Restrictions

You may contact leads only for the specific relocation-related business purpose authorized by the user through the platform. You may not:

  • Use lead data for any purpose beyond the user's stated relocation request
  • Resell, transfer, share, or license lead data to any third party
  • Use spam, automated messaging, robocalling, or harassing communication methods
  • Retain or use lead data after your subscription ends or your account is terminated
  • Reuse lead data across different business lines, products, or services not related to the user's relocation request

6. Subscription Plans and Billing

Current Plans

Provider access requires an active paid subscription. Current plans are:

Featured listing, expanded lead routing, analytics

Premium

$199/month

Top placement, priority AI matching, maximum lead routing

Plan pricing, features, and availability are subject to change at NextLife's sole discretion at any time.

Billing Terms

  • Subscriptions are billed monthly on a recurring basis via Stripe
  • Your subscription renews automatically each month until canceled
  • Failed payments may result in immediate suspension and removal from listings
  • You are responsible for keeping your payment information current in Stripe

Cancellation & Refunds

All subscription fees and related provider payments are non-refundable unless expressly stated otherwise. Fees are not contingent upon lead volume, lead quality, lead exclusivity, provider responsiveness, closing success, conversion rates, or revenue outcomes of any kind.
  • You may cancel your subscription at any time through your provider dashboard
  • Cancellations take effect at the end of the current billing period
  • No partial refunds are issued for the remainder of a billing period after cancellation
  • Refunds will not be issued based on dissatisfaction with lead volume, quality, or business results
  • Refunds may be issued at NextLife's sole discretion where required by applicable law

7. Platform Control and Discretion

NextLife retains full control over all decisions related to:

  • Provider approval, rejection, or suspension — at any time for any reason
  • Provider ranking, placement, and visibility in search results and listings
  • Lead routing logic and distribution — which providers receive which leads and in what order
  • AI matching criteria and how providers are surfaced to users
  • Platform features, design, functionality, and pricing

NextLife may modify these systems at any time without prior notice. You have no contractual right to any specific ranking, placement, lead volume, or visibility level.

Listing approval, active account status, profile visibility, badges, review status, placement, or access to the platform do not constitute an endorsement, certification, recommendation, or guarantee of any kind by NextLife. NextLife does not independently verify provider credentials, performance, reputation, or service quality.

8. No Dispute Mediation

NextLife facilitates introductions between users and providers but does not mediate, arbitrate, supervise, or assume responsibility for disputes that arise between them. This includes disputes related to:

  • Lead quality, accuracy, or intent
  • User responsiveness or follow-through
  • Provider performance, service delivery, or professionalism
  • Pricing, commissions, fees, or contract terms between you and a user
  • Transaction outcomes, closings, or business results
  • Any other business or professional disagreement between a provider and a user

NextLife has no obligation to intervene in or resolve such disputes. Any agreement entered into between a provider and a user is solely between those parties. NextLife is not liable for the outcome of those agreements.

9. Provider Conduct and Representations

You represent, warrant, and agree that:

  • All information you provide on the platform is accurate, current, and complete
  • You will maintain all required professional licenses and certifications
  • You will treat all users and leads with professionalism and respect
  • You will not make false, misleading, or deceptive claims in your profile or communications
  • You will comply with all applicable anti-spam and consumer protection laws
  • You will not engage in any conduct that could harm NextLife's reputation or other users

10. Limitation of Liability

To the maximum extent permitted by law, NextLife is not liable for any damages, losses, or claims arising from or related to your participation as a provider, including:
  • Your professional actions, advice, or services provided to users or clients
  • Disputes between you and any user, lead, or client
  • Regulatory violations, license issues, or professional misconduct
  • Failed transactions, closings, or business deals
  • Financial losses resulting from low lead volume, quality, or conversion
  • Changes to platform features, ranking, or lead routing
  • Platform downtime, errors, or technical failures

In no event shall NextLife's total liability to you exceed the total subscription fees you paid in the three months immediately preceding the claim.

11. Indemnification

You agree to fully defend, indemnify, and hold harmless NextLife and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or related to:
  • Your professional services, advice, or conduct
  • Your violation of this Agreement or the Terms of Service
  • Your violation of any applicable law, regulation, or professional standard
  • Claims by users, leads, or clients resulting from your actions
  • Any misuse of lead data or user information
  • Any regulatory action, investigation, or penalty related to your business
  • Any dispute between you and a user arising from services rendered or not rendered

This indemnification obligation survives termination of this Agreement.

12. Termination

By You

You may cancel your subscription and terminate your participation at any time through your provider dashboard. No partial refunds are provided.

By NextLife

NextLife may suspend or permanently terminate your provider account at any time, with or without notice, for reasons including but not limited to: violation of this Agreement, fraudulent or abusive behavior, misuse of lead data, loss of required licensing, failure to pay, or any conduct NextLife determines poses a risk to users or the platform. Termination does not entitle you to a refund.

Effect of Termination

Upon termination, your access to the platform, dashboard, and leads will be immediately revoked. You must promptly delete all lead data obtained through the platform. Sections 2–4 and 10–14 survive termination.

13. Disclaimer of Warranties

The NextLife platform is provided “as is” and “as available” without warranty of any kind. NextLife does not warrant that the platform will be uninterrupted, error-free, or that leads will meet any particular quality standard. All implied warranties are disclaimed to the fullest extent permitted by law.

14. Governing Law and Disputes

This Agreement is governed by the laws of the State of Texas, United States, without regard to conflicts of law principles. Any dispute arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Texas. You consent to personal jurisdiction and venue in those courts.

15. Entire Agreement and Amendments

This Agreement, together with NextLife's Terms of Service and Privacy Policy, constitutes the entire agreement between you and NextLife regarding your participation as a provider. NextLife may amend this Agreement at any time by posting a revised version to this page. Your continued use of the platform after any amendment constitutes your acceptance.

16. Acceptance

By registering as a provider, subscribing to a plan, or using any provider features on NextLife, you confirm that you have read, understood, and agree to be bound by this Provider Agreement in full.
